Terms of conditions
Before you start
This page explains the agreement between you and us. We've written it in plain language on purpose, because we want you to actually understand what you're agreeing to — not click "accept" unread.
The whole thing in two lines: we build your website, run it, and hold up the technical side. You're responsible for your content and for paying your subscription. Everything else is detail.
1. Who we are
Qurb is a product of [[FILL: full legal entity name]], registered in [[FILL: city]], Republic of Yemen, commercial registration no. [[FILL: number]].
In this document, "we" / "Qurb" means that company. "you" / "the Client" means the person or organization subscribing to our services.
2. When these terms become binding
They bind you from the moment you first use our services — when you accept a quote, pay a first invoice, or start using the dashboard, whichever comes first.
If you're signing or agreeing on behalf of a company or organization, you confirm you're authorized to do so, and that the organization — not just you personally — is bound by these terms.
If there's something here you don't agree with, tell us before we start, not after.
3. What the service actually is
Qurb provides you with a managed informational website, and we take care of:
Building the site on a design from our library, tuned to your identity.
Hosting on our servers.
Registering your domain and tracking its renewal (depending on your plan).
Issuing and renewing your SSL certificate.
Scheduled backups of your website data.
A dashboard for managing your content.
Technical support during our published working hours.
And what it explicitly is not:
Qurb is not an e-commerce platform. This is a permanent decision, not a temporary gap. There is no: shopping cart, online payment inside your site, buyer accounts, inventory management, shipping, or discount coupons.
You may display your products and services with photos, prices and descriptions — display only. Any actual sale happens off the site, directly between you and your customer, and Qurb is not a party to any sales transaction of yours.
The service also excludes: mobile apps, internal systems and custom software development, managing your social media accounts, or anything not stated in writing in the agreed quote.
4. Your account and your responsibility for it
We create your account and hand you the credentials. You are responsible for:
Keeping your password safe and not sharing it.
Anything done from your account — it counts as done by you.
Telling us immediately if you suspect someone accessed your account.
The accuracy of your details (name, email, phone) and updating them when they change.
If you lose access and we can't verify you're the account owner, we can't hand it over — and that protection is in your interest.
5. Subscription and billing
Billing cycle: monthly or yearly, whichever you choose at the start.
Payment: manual — [[FILL: bank transfer / remittance / cash]]. We send you an invoice and you pay by the agreed method. There is no online payment at present, and we never store card details.
Currency: [[FILL: currency]]. If you pay in another currency, exchange differences and transfer fees are yours.
Due date: invoices are due within [[FILL: e.g. 7 days]] of issue.
Renewal: your subscription renews automatically at the end of each cycle unless you tell us you're cancelling at least [[FILL: e.g. 7 days]] before the renewal date.
Late payment: if an invoice passes its due date, we'll contact you and give you a grace period of [[FILL: e.g. 14 days]]. After that, we may suspend your website until payment is made. Suspension doesn't cancel your subscription and doesn't clear the amount owed.
Price changes: we may adjust our prices. If your plan's price increases, we'll tell you at least [[FILL: e.g. 30 days]] before it applies to you, and you may cancel before it takes effect if the new price doesn't work for you.
Upgrades and downgrades: you can move between plans. [[FILL: your decision — is an upgrade immediate with a prorated difference? Does a downgrade start at the next cycle? Write it here.]]
Tax and fees: prices [[FILL: include / exclude]] any taxes or government fees. Bank charges and transfer fees are the Client's.
Refunds: [[FILL: your decision — be specific. A conservative wording that protects you: "Setup and build fees are non-refundable once work on the website has begun, as they cover time and work already performed. For hosting subscription paid in advance, the unused portion is refunded if you cancel within [period]." Pick your wording, write it here, and make sure it matches the Services page.]]
Refunds never cover: domain registration or renewal fees (paid to a third party and not refundable to us), or add-on services already delivered (content writing, SEO setup, custom design).
6. Your domain
If we register the domain for you: we register it and track its renewal for as long as your subscription is active. [[FILL: important decision — is the domain legally registered to the Client, or to you with a commitment to transfer on request? State the answer plainly here. Ambiguity on this point is the single biggest source of disputes in this business.]]
If you already own the domain: you're responsible for renewing it and for the accuracy of its registration details. We connect it to the site; if it expires or breaks on your side, the site stops resolving and that isn't our liability.
On cancellation: [[FILL: your decision — what happens to the domain? Transferred to the Client? Stays with you until its term ends? Write it.]]
We're not responsible for decisions of the domain registrar itself, nor for its refusal or suspension of a domain for reasons outside our control.
7. Your content — yours, and your responsibility
Ownership: every text, image, logo and file you upload to your site stays yours. We claim no ownership and won't use it for any other purpose.
Technical licence: you grant us a limited licence — only as far as needed to run the service: to store your content, display it on your site, and back it up. That licence ends when our relationship ends, except for backups, which are deleted on the schedule set out in the Privacy Policy.
Your responsibility for content — this one matters: You are fully and solely responsible for all content published on your site, and you warrant that:
You have the legal right to publish it — text, images, fonts, video. If you use an image or a design you don't hold rights to, that's on you.
The content is accurate and not misleading, especially where it concerns medical, legal, financial or educational services.
The content doesn't breach the laws of the Republic of Yemen or of any country you target.
You hold whatever licences or permits your activity requires, if it requires any.
The content doesn't include other people's personal data published without their consent.
We do not review or pre-moderate website content, and its presence on our servers implies no endorsement or approval by us.
8. Acceptable use
You may not use Qurb for:
Anything unlawful, or promoting unlawful activity.
Content inciting violence, hatred or discrimination.
Pornographic content or content contrary to public decency.
Fraud, impersonation, phishing, or passing yourself off as another person or organization.
Distributing malware or malicious files.
Attempting to reach another client's data, or probing the system's limits or vulnerabilities without our written permission.
Sending bulk unsolicited messages (spam) through the site's forms or tools.
Consuming resources unreasonably in a way that affects other clients' sites, or using your site's storage as a general file dump.
Reselling or sublicensing the service to a third party without a written agreement with us.
If you breach any of these, we may suspend the site immediately and without prior notice where the breach is serious or exposes us to legal liability.
9. Service availability — honestly, not oversold
We make continuous, reasonable efforts to keep your site running. We monitor our servers and move quickly on outages.
But we do not guarantee uninterrupted, always-on service. We can't, and nobody in this business can promise it honestly. Interruptions happen for reasons including:
Scheduled maintenance (we try to notify you and run it during quiet hours).
Emergency maintenance or urgent security fixes.
Failures at the hosting provider, the network, or an ISP.
Power cuts, internet outages, or any general infrastructure failure.
Cyberattacks outside our control.
Problems at the domain registrar or the certificate authority.
Misconfiguration by the Client.
There is no Service Level Agreement (SLA) and no guaranteed uptime percentage, unless we've signed a separate written agreement with you that says so explicitly. [[FILL: if you want to offer an SLA to institutional clients later, write it as a separate document — do not commit to a percentage here.]]
Downtime of any duration does not create a right to compensation or a refund unless a written agreement provides otherwise.
10. Search rankings — we won't promise what we don't control
If you order SEO setup, what we deliver is technical and content work built on established best practice.
We do not guarantee or commit to any of the following: a specific position in search results, a specific amount of traffic, a number of customers or sales, or how quickly your site appears in search results.
The reason is simple: rankings are decided by Google's constantly changing algorithms, which we don't control, and are affected by competitors and factors outside any provider's reach. Anyone promising you a guaranteed ranking is either uninformed or overselling.
The same principle applies to marketing or content work: we commit to the quality of the execution, not to a commercial outcome.
11. Our right to suspend and terminate
We may suspend your site or close your account when:
Situation | Notice |
|---|---|
Payment overdue past the grace period | We notify you before suspending |
Breach of acceptable use (§8) | Immediately and without notice for serious breaches |
Content exposing us to legal liability or a formal claim | Immediately |
An order from a competent authority or a court ruling | Immediately, as required of us |
Abuse of our team (threats, insults, harassment) | After one warning |
Discovering your registration details are false or misleading | After a request to correct them |
You may cancel at any time by telling us in writing. Cancellation takes effect at the end of your paid billing cycle, and doesn't entitle you to a refund except as set out in §5.
We may also discontinue the service entirely for any client with at least [[FILL: e.g. 30 days]] notice, refunding the unused portion of any prepaid subscription. This is a right we'd use only rarely (service shutdown, restructuring, or genuine impossibility of continuing).
What happens on termination:
The site stops being served to visitors.
Your data is retained for
[[FILL: e.g. 30 days]]in case you want to return. You may request a copy of your content during that window —
[[FILL: your decision: free, or a nominal fee?]]After that window, your data is permanently deleted per the schedule in the Privacy Policy.
Any amounts you owe remain owed.
12. Intellectual property
Ours: the Qurb platform, its code, its designs and themes, the name "Qurb", its logo and visual identity — all belong to [[FILL: legal entity name]] and stay ours. Your subscription gives you a right to use the service, not ownership of any part of it.
You may not copy, extract or reuse the platform's code or designs outside Qurb, and you may not resell our designs or present them as your own.
Yours: your content, logo, images, text, and business name.
The badge on your site: a small "Powered by Qurb" mark appears on your site, unless your plan includes removing it or you request removal for [[FILL: fee, if any]].
Our use of your name: we like showing our work. [[FILL: your decision — the safe wording: "We will not use your name, logo, or screenshots of your site in our marketing without your written consent." That's the cleanest and most respectful option, and it avoids trouble.]]
13. Limitation of liability
This clause matters, so read it carefully.
The service is provided "as is" and "as available", without warranties express or implied beyond what's stated in writing here — and we expressly disclaim any implied warranty of fitness for a particular purpose, of compatibility with every device and browser, or that the service will be error-free.
We are not liable, under any circumstances, for:
Loss of profit, expected profit, or missed business opportunities.
Loss of customers, contracts, or business reputation.
Indirect, consequential or incidental damages, however arising.
Data loss beyond what the most recent available backup allows for (see §16).
Any harm arising from content published by the Client or anyone the Client authorized.
Any harm arising from the Client's own actions: a leaked password, accidentally deleted content, misconfiguration, or granting access to someone who misused it.
Failures or errors at a third party: hosting provider, ISP, domain registrar, certificate authority, Google services, or any external tool the Client connected to their site.
Failure to achieve a commercial or marketing outcome, or a search ranking.
Our maximum liability: in all cases, and whatever the basis of the claim, our total aggregate liability to you will not exceed the amount you actually paid us for the service during the [[FILL: e.g. three (3)]] months preceding the event giving rise to the claim.
[[FILL: review with a lawyer — some jurisdictions don't allow liability to be limited in cases of fraud, gross negligence, or personal injury, and you may need an explicit carve-out for those so the clause stays fully enforceable.]]
14. Indemnity
You agree to protect us — us, our team and our providers — and to indemnify us against any claim, action, fine or cost (including reasonable legal fees) arising from:
Content you published on your site.
Your infringement of someone else's intellectual property or privacy rights.
Your breach of the law or of these terms.
Your own business activity, or a dispute between you and one of your customers or site visitors.
Your use of the service in breach of §8.
Put simply: if a legal claim arrives because of something you published or did, it's your responsibility, not ours.
15. Force majeure
We are not in breach, and bear no liability, for any delay, interruption or inability to provide the service caused by matters outside our reasonable control, including but not limited to:
Power cuts or repeated power instability.
Internet outages, national network degradation, or international cable failures.
War, armed conflict, civil unrest, or strikes.
Government decisions or measures, blocking, or regulatory restrictions.
Natural disasters, fire, flood, earthquake.
Epidemics and public-health emergencies.
Failure or discontinuation of service at a critical provider (hosting, network, domains, certificates).
Large-scale cyberattacks or distributed denial of service (DDoS).
In these situations we'll make reasonable efforts to limit the impact, restore service as fast as possible, and keep you updated. If the situation continues for more than [[FILL: e.g. 30 days]] without interruption, either party may terminate the agreement on written notice.
16. Backups — what we actually commit to
We take scheduled backups of your website data, and we have a documented, tested restore procedure. Retention periods are set out in the Privacy Policy.
And to be straight with you: backups are an operational measure to reduce risk. They are not an absolute guarantee, and not insurance on your data.
A restore brings back the most recent valid backup available — meaning you may lose whatever was added after it.
We don't guarantee that every single backup will be intact and 100% restorable in all circumstances.
If you delete content yourself, you can request a restore within the retention window and we'll make reasonable efforts to do it.
If you hold content that can't be replaced (original photos, design files, an archive), keep your own copy. That's honest advice, not an escape hatch.
Restore requests are handled within [[FILL: e.g. two working days]] of the request, and we may charge for repeated restore requests [[FILL: fee if any, or "no charge"]].
17. Data privacy
How we collect, use and protect your data is set out in full in the Privacy Policy, which forms an integral part of these terms.
One important point: for data entered by your site's visitors (contact form messages, for example), you are the one primarily responsible to them, and we process it on your behalf and on your instructions. That means it's on you to tell your visitors how their data is used, and to obtain their consent where required.
18. Changes to these terms
We may update these terms from time to time — because the service changed, the law changed, or a clause needed clarifying.
Minor changes (clarifications, corrections, reorganization) take effect when published, and we update the "last updated" date above.
Material changes (ones affecting your rights or your financial obligations) will be sent to your registered email at least
[[FILL: e.g. 30 days]]before they take effect.Continuing to use the service after a change takes effect counts as accepting it. If you don't accept, you may cancel before the effective date.
19. Governing law and disputes
Governing law: the laws of the Republic of Yemen.
International expansion: if we serve clients outside Yemen in future, these terms and Yemeni law remain the basis of the relationship, subject to any mandatory provisions in the client's own country that cannot be contracted out of. [[FILL: if you take on clients in countries with strict data-protection regimes (the Gulf, Europe), review this clause and the Privacy Policy with a lawyer before you do.]]
Before any legal step — we talk: if a dispute arises, you agree to write to us at [[FILL: email]] explaining the problem, and to allow both sides [[FILL: e.g. 30 days]] to reach an amicable resolution. This step is a precondition to approaching any formal body. (We include it because most disputes are settled by one honest conversation.)
If we can't resolve it: jurisdiction lies with [[FILL: the competent courts of [city], Republic of Yemen / or: arbitration under [rules]]].
[[FILL: review with a Yemeni lawyer: courts or arbitration? Arbitration is usually faster and more private but costlier. And name the city.]]
20. General provisions
Severability: if any clause here is found invalid or unenforceable, the rest remain in full force, and the invalid clause is read down to the closest valid meaning matching the parties' intent.
No waiver: if we don't enforce a clause once or several times, that isn't a waiver of it, and we keep the right to enforce it later.
Entire agreement: these terms + the agreed quote + the Privacy Policy are the whole agreement between us, and supersede any earlier verbal promises or understandings. No additional obligation binds us unless it's in writing and signed by us.
Assignment: you may not transfer your rights or obligations here to a third party without our written consent. We may assign this agreement in a merger, sale or restructuring, on notice to you.
Formal notices: any formal notice goes to the email registered on your account, and is deemed received [[FILL: e.g. 48 hours]] after sending. Keeping that email current and monitored is your responsibility.
Language: these terms are published in Arabic and English. In the event of any conflict or difference in interpretation, the Arabic text prevails.
Use of contractors and providers: we may use external providers (hosting, email, backup storage) to deliver the service, and we remain responsible to you for the service as a whole. They're listed in the Privacy Policy.
